These Terms & Conditions ("Terms") govern your use of the website managedtech.uk ("the Site") and any services provided by Managed IT Support Limited ("we", "us", "our").
By using the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

All services are provided subject to a separate service agreement or proposal between us and the Client. These Terms apply in addition to any service agreement.
We will provide services with reasonable care and skill, in accordance with good industry practice. Specific service levels, response times, and inclusions are defined in the applicable service agreement.
We reserve the right to subcontract work to third parties where necessary, but we remain responsible for the quality of work delivered.
All quotations are valid for 30 days unless otherwise stated. Prices are exclusive of VAT unless explicitly stated otherwise.
Pay-as-you-go support is charged at the rates current at the time of service:
Managed service pricing is as detailed in the applicable service agreement and is subject to annual review.
Managed services are invoiced monthly in advance. Ad-hoc and project work is invoiced upon completion unless otherwise agreed.
Payment is due within 14 days of the invoice date. We reserve the right to charge interest on overdue payments at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
We may suspend services if payment remains outstanding for more than 30 days.
Managed service agreements are rolling monthly unless otherwise specified. Either party may terminate with 30 days' written notice.
We may terminate or suspend services immediately if:
Upon termination, we will provide reasonable assistance to transition services to another provider, charged at our standard hourly rate.
To the fullest extent permitted by law:
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
We process personal data in accordance with our Privacy Policy and applicable UK data protection legislation including the UK GDPR and Data Protection Act 2018.
Where we process data on behalf of a Client as part of our services, we will enter into a Data Processing Agreement as required by law.
All content on the Site (including text, graphics, logos, and software) is owned by or licensed to Managed IT Support Limited and is protected by copyright and intellectual property laws.
Any work product created specifically for a Client as part of a service engagement is owned by the Client upon full payment, unless otherwise agreed in writing. Tools, scripts, templates, and methodologies developed by us remain our intellectual property.
We may supply, configure, or manage third-party products and services on behalf of Clients (including but not limited to Microsoft 365, Google Workspace, security software, and backup solutions). These products are subject to the respective third party's own terms and conditions.
We are not liable for outages, changes, or failures of third-party services beyond our control.

We reserve the right to suspend services immediately if we reasonably believe a Client is in breach of this clause.
Neither party shall be liable for failure or delay in performing obligations where such failure or delay results from circumstances beyond that party's reasonable control, including but not limited to natural disasters, pandemics, government actions, power failures, or widespread internet outages.
These Terms, together with any applicable service agreement and our Privacy Policy, constitute the entire agreement between the parties. Any prior representations, warranties, or agreements are superseded.
We may update these Terms from time to time. Any changes will be posted on this page with an updated date. Continued use of the Site or our services after changes constitutes acceptance.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
